Great Minds Digital Platform Terms of Use

We're updating the Terms of Use for the Great Minds digital platform, effective August 17, 2026 for existing users and immediately for new users. By continuing, you agree to these changes.

These Great Minds Digital Platform Terms of Use ("Terms") govern your use of the Great Minds digital platform found at: digital.greatminds.org, which is operated by Great Minds PBC (referred to as "Great Minds", "We", "Us", and/or "Our"), and any other website, mobile or other app, product, feature, or other service offered by Great Minds that provides a link to these Terms (collectively, the "Digital Platform"). When using features or services of the Digital Platform, including beta features or services, further policies or terms may apply to your use of such feature or service ("Additional Terms") in addition to these Terms. To the extent there is a conflict between these Terms and any Additional Terms, the Additional Terms will control unless the Additional Terms expressly state otherwise.

Please read the following terms and conditions carefully before proceeding. By accessing the Digital Platform or otherwise permitting access to students or other authorized end users of the Digital Platform, you agree to these Terms. If your access to the Digital Platform is governed by a contract between your school or school district and Great Minds ("School Contract"), such School Contract will control with respect to any conflicts between these Terms and such School Contract.

NOTE: These Terms contain a waiver of your right to participate in a class action lawsuit or have your claim decided by a jury trial.

1. Accounts

Your access to the Digital Platform is provided as a result of a contract between your school or school district and Great Minds ("School Contract"). The School Contract will control with respect to any conflicts between these Terms and such School Contract. In the event that you change employment or schools, your account may be terminated and any data in such account may be lost, even if your new employer or school also has a contract with Great Minds.

You are responsible for maintaining the confidentiality of your account login name(s) and password(s), and you must not permit use of your account by anyone else, unless otherwise authorized by Great Minds. You agree not to sell or otherwise transfer your account or other access rights. You accept responsibility for all activities that occur under your account, including product purchases made using your account. If you have reason to believe that someone is using your account without your permission, you agree to contact us immediately. We are not responsible for any loss or damage resulting from unauthorized use of your account.

Instructor accounts may have the ability to provide information about their student roster, including student names and email addresses, and/or to create accounts on students' behalf. In doing so, you must ensure that you provide access only to students who are U.S. residents. You understand that this collection of student information may be subject to the Children's Online Privacy Protection Act ("COPPA") or other applicable minor data laws. By providing students younger than 18 years of age with access to the Sites, you represent that you have secured from the parent or legal guardian of each such student any consent necessary under COPPA or any other applicable law for our collection, use, and disclosure of personal information collected from that student, or that you are permitted to and hereby do provide such consent on behalf of the student's parent or legal guardian.

2. Great Minds Intellectual Property

  1. Great Minds Ownership. The Digital Platform and all curricula and other textual, pictorial, audio, and/or video materials contained therein (collectively, the "Materials") contain copyrighted material, trademarks, and other proprietary information including, but not limited to, text and graphics, which are protected under United States copyright and/or trademark laws. Great Minds, its affiliates, or its licensors own and/or control all rights in the selection, coordination, arrangement and enhancement of the Digital Platform's content and look and feel; domain names; source and object code; and past, present, and future versions of the Digital Platform and Materials.
  2. License to You. Subject to any School Contract and your compliance with these Terms, Great Minds hereby grants you a non-sublicensable, non-transferable and non-exclusive license to access the Digital Platform, participate in its features (including but not limited to assigning lessons, answering and submitting work, conducting assessments, and generating reports), and view, download, print, and distribute the portions of the Digital Platform and any Materials contained therein strictly for your non-commercial, educational use within your own District, School or classroom. With respect to any permitted copying or distribution of the Digital Platform or Materials, you agree to make no changes in or deletion of author attribution, trademark, legend, or copyright notice. Except as expressly permitted herein, you may not copy, distribute, or otherwise exploit the Digital Platform, Materials, or any portion thereof, and under no circumstances are you permitted to sell the Digital Platform or Materials, or any portion thereof, to anyone, in any manner.

3. User Content

Great Minds may make available to you the option to post or otherwise make available on the Digital Platform or to Great Minds, various text, audio, pictures, videos, or other content, including student-specific content such as customized assessments, instructor feedback to students, student work, comments, inquiries, and reviews (collectively "Student-Specific Content"), as well as other content such as lesson plans, lesson materials, and test materials (collectively, "General User Content"). Student-Specific Content and General User Content are collectively referred to herein as "User Content."

  1. Responsibility for User Content. You understand that you are solely responsible for your User Content, however you choose to submit such User Content to the Digital Platform and/or Great Minds. By submitting User Content, you represent and warrant to Great Minds that your User Content: (1) is not confidential and that you have all necessary permission to submit it; and (2) does not infringe upon, misappropriate, or violate the rights of any third party, including, without limitation, any intellectual property rights, rights of publicity or privacy, or any other proprietary rights. Great Minds does not control the User Content made available via the Digital Platform and therefore does not guarantee the accuracy, integrity, quality, or lawfulness of User Content.
  2. Rights You Grant to Us. Whenever you submit or otherwise make available User Content to Great Minds, you grant to Great Minds an irrevocable, worldwide, nonexclusive, perpetual, fully sub-licensable and assignable, royalty-free license to use, exploit, reproduce, modify, translate, incorporate in other works, create derivative works from, publish, broadcast, and perform that User Content – and your name, voice, likeness and other identifying information in connection with that User Content – via any medium now known or later developed, without any compensation to you, except that for Student-Specific Content: (1) the foregoing license applies only if the Student-Specific Content is pseudonymized and (2) to the extent that the Student-Specific Content remains identifiable to the student, the foregoing license is limited to the term of the applicable School Contract, limited in medium to the Digital Platform, and limited in purpose to our providing our services under the School Contract. In addition, to the extent permitted by applicable law, waive all of your moral rights in that User Content to the fullest extent permitted by law.
  3. Right to Screen and Remove Content. We have no obligation to monitor the Digital Platform or any User Content made available via the Digital Platform. However, you acknowledge and agree that we have the right to monitor the Digital Platform and User Content you submit and the right (but not the obligation) to delete, edit, move, or disable any such User Content in whole or in part, before or after it appears on the Digital Platform, subject to Great Minds' sole discretion.
  4. No Confidential/Proprietary Submissions. Except as otherwise set forth in the applicable School Contract, you agree that your User Content will be treated as non-confidential and non-proprietary. You acknowledge and agree that Great Minds may provide any of your User Content or other information regarding your use of the Digital Platform to the school or school district which has contracted with Us to provide you with an account, including without limitation in the event we identify User Content or conduct that violates these Terms. You further agree that Great Minds is free to use any ideas or concepts contained in any User Content ("Ideas and Concepts") for any lawful purposes whatsoever, including, without limitation, developing, and marketing products and services, including, without limitation, use of such Ideas and Concepts without any payment of any kind to you. You acknowledge that Great Minds may be working on or developing material similar or the same in nature to your User Content and that Great Minds may have received similar or the same intellectual property rights from another party. Great Minds owes you no obligation connected to your submissions unless you and Great Minds enter a written agreement to that effect. Any discussion or negotiations between you and Great Minds regarding your submissions does not constitute recognition of the novelty or originality of your User Content.
  5. No Obligation to Use. You agree and understand that we are not obligated to use your User Content in any way.
  6. User Interactions. You are solely responsible for your interaction with other users, whether within the Digital Platform or elsewhere. We are not responsible for the conduct of any user of the Digital Platform. We reserve the right, but have no obligation, to monitor or become involved in disputes between you and other users. Exercise common sense and your best judgment in your interactions with others.

4. End User Standards of Conduct

As a condition of your use of the Digital Platform, you agree not to misuse the Digital Platform and to follow these standards of conduct:

  1. Be kind and follow the law. Any conduct or User Content that is unlawful, discriminatory, bigoted, racist, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, pornographic, obscene, offensive, profane, vulgar, or that promotes drugs or controlled substances is prohibited.
  2. All work should be your own. Cheating or assisting others in cheating, and any User Content that infringes on any copyright, trademark, patent, trade secret, right of publicity, right of privacy, or any other right of another person or entity is prohibited.
  3. Use only for educational purposes. Any User Content that constitutes unauthorized or unsolicited advertising, junk mail, bulk mail, chain letters, or surveys, or which involves commercial activities and/or sales, such as contests, sweepstakes, or barter; marketing of any goods or services; harvesting or collecting personal information from others; or reselling, renting, leasing, or providing in return for payment the Digital Platform or Materials to any person is prohibited.
  4. Protect others' data. Any Disclosure of another person's address, phone number, e-mail address, credit card number, or any information that may be used to track, contact, or impersonate that individual or that is extremely personal in nature is prohibited.
  5. No images of children. Unless specifically provided by a feature of the Digital Platform subject to the School Contract, User Content that includes video, audio, or images of any person younger than the age of 18 is prohibited.
  6. Use your own name and role. Impersonation of any person or entity, including any employee or representative of Great Minds, is prohibited.
  7. No attacks on the Digital Platform or Materials; no AI training. We may suspend or terminate your account if you engage in or attempt to engage in any potentially harmful acts that are directed against the Digital Platform or Materials, including but not limited to violating or attempting to violate any security features of the Digital Platform or Materials; use manual or automated software or other means to scrape, crawl, spider, or similarly access or copy any portion of the Digital Platform or Materials or to use any portion of the Digital Platform or Materials to train or otherwise include in large language models, artificial intelligence technologies, or other machine learning tools, products, services, or features; introduce or send viruses, worms, spyware, malware, or any other kind of harmful code into or through the Digital Platform or Materials; reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any software component of the Digital Platform; interfere or attempt to interfere with the proper functioning of or use by others of the Digital Platform or Materials, including by means of overloading, flooding, spamming, mail bombing, or crashing the Digital Platform; engage in or attempt to engage in any of the following: disabling, bypassing, modifying, defeating, violating, removing, impairing, circumventing, or otherwise interfering with digital rights-management technology or other features or technology that limits or prevents use of the Digital Platform or Materials; or automate the process of sending or viewing the Materials.

Violation of these provisions may result, in our sole discretion, in the deletion of your submissions, including but not limited to User Content and/or the temporary suspension or permanent termination of your account, including of your access to the Digital Platform and limited license to use the Materials. It may also result in Great Minds reporting such violations to your school, school district, or law enforcement, as appropriate.

5. Reporting Copyright and Other Intellectual Property Violations

You may not use the Digital Platform for any purpose or in any manner that infringes the legal rights of any third party. Great Minds encourages you to report any content on any Great Minds-owned website or the Digital Platform that you believe infringes your rights. Only the intellectual property rights owner or person authorized to act on behalf of the owner can report potentially infringing content. If you have a good faith belief that content on a Great Minds-owned website or the Digital Platform infringes your copyright, trademark, or other intellectual property rights, please follow the procedures set forth below.

In accordance with the Digital Millennium Copyright Act of 1998 (the "DMCA"), Great Minds has a designated agent for receiving notices of alleged copyright infringement and Great Minds follows the notice and take down procedures of the DMCA. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide Great Minds' copyright agent the following information required by the Online Copyright Infringement Liability Limitation Act of the DMCA, 17 U.S.C. 512: (a) a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (b) identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site; (c) identification of the material that is claimed to be infringing or to be the subject of infringing activity and information reasonably sufficient to permit us to locate the material; (d) information reasonably sufficient to permit us to contact the complaining party; (e) a statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (f) a statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

If you believe that any content on our Digital Platform or Great Minds-owned websites violates your rights other than copyrights, please provide Great Minds with at least the following information: (a) a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (b) identification of the material that is claimed to be infringing or to be the subject of infringing activity and information reasonably sufficient to permit us to locate the material; (c) an explanation of what rights you own/have and why you believe the content infringes your rights sufficient for us to evaluate your complaint; and (d) accurate contact information for you.

NOTE: This email address is for inquiries regarding alleged copyright and other infringements only.

Great Minds may, in Our reasonable discretion, terminate the accounts of users of the Digital Platform who are repeat infringers. It is often difficult to determine if your intellectual property rights have been violated or if the DMCA requirements have been met. We may request additional information before We remove any infringing material. If a dispute develops as to the correct owner of the rights in question, We reserve the right to remove your material along with that of the alleged infringer pending resolution of the matter.

Great Minds will provide you with notice if your material have been removed based on a third-party complaint of alleged infringement of the third party's intellectual property rights.

6. Links to the Platform

Great Minds grants you revocable permission to link to the Digital Platform; provided, however, that any link to the Digital Platform: (a) must not frame or create a browser or border environment around any of the content on the Site or otherwise mirror any part of the Site; (b) must not imply that Great Minds or the Digital Platform are endorsing or sponsoring any third party or its products or services, unless Great Minds has given the third party prior written consent; (c) must not present false information about, or disparage, tarnish, or otherwise, in Great Minds' sole opinion, harm Great Minds or its products or services; (d) must not use any Great Minds trademarks without the prior written permission from Great Minds; (e) must not contain content that could be construed as distasteful, offensive, controversial, or otherwise objectionable (in Great Minds' sole opinion); and (f) must be owned and controlled by you or the person or entity placing the link, or otherwise permit you to enable such link subject to these Terms. By linking to the Digital Platform, you agree that you do and will continue to comply with the above requirements. Notwithstanding anything to the contrary contained in these Terms, Great Minds reserves the right to prohibit linking to the Digital Platform for any reason in Our sole and absolute discretion.

7. Links to Third-Party Content, Sites

The Digital Platform and/or Materials may link to other content or sites that are not owned or controlled by Great Minds. These are provided solely for convenience and informational purposes. The presence of links to such third-party content or sites does not constitute an endorsement of the site's content, products, services, or views. Great Minds is not responsible for the accuracy, legality, security, or content of any third-party site or any of its links.

8. Communications

You agree that we may send or make available to you via the Digital Platform communications in electronic form and that all communications we provide to you electronically, including terms and conditions, agreements, notices, and disclosures, satisfy any legal requirement that such communications would satisfy if they were to be provided in paper or other non-electronic format. This clause does not affect your statutory rights.

If you have opted in to receive marketing or other elective communications from us, you may choose to opt out at any time following the instructions relevant to such form of communication. Please note that even if you opt out, we will still send emails to the email address you provide related to your relationship with us, such as, in our discretion, or as required by applicable law, information about updates to our policies or these Terms.

9. Changes and Termination

Except as set forth in any applicable School Contract, which will control in the event of any conflict between these Terms and such School Contract, Great Minds reserves the right to change or discontinue, temporarily or permanently, in whole or in part, and for any reason or no reason, any aspect or feature of the Digital Platform or Materials, the Digital Platform or any Site in its entirety, or these Terms. You agree that we may notify you of updates, including updated Terms, by posting updates on the Platform.

Such changes or terminations will be effective immediately upon posting on the Digital Platform or at such other date as we may specify. You agree that we may also provide notice of changes and terminations to your school or school district and that such notice will be effective and binding on you to the greatest extent permitted by law. Your use of the Digital Platform after we have posted the changes, notified your school or school district, or engaged in other conduct as we may reasonably specify constitutes your agreement to the changes, including updated Terms.

We reserve the right to terminate your account or other access to and use of the Digital Platform in our sole discretion, without notice or liability, for any reason. We reserve the right to investigate suspected violations of these Terms. Any violation of these Terms may be referred to your school or school district and/or law enforcement authorities. Upon any termination of your access to the Digital Platform, all rights to you granted under these Terms will cease immediately, and you agree to immediately discontinue use of the Digital Platform. If we terminate your account as a result of your violation of these Terms, we reserve the right to refuse to provide you with an account in the future.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Digital Platform, Materials, and any available User Content are provided on an "As Is," "As Available," and "With All Faults" basis. To the fullest extent permissible by applicable law, Great Minds and its affiliated entities, investors, and vendors, and the directors, officers, employees or other representatives of each of them (collectively, the "Great Minds Parties") make no representations or warranties or endorsements of any kind whatsoever, express or implied, as to: (a) the Digital Platform; (b) the Materials; (c) User Content; and/or (d) security associated with the transmission of information by or to Great Minds or via the Digital Platform. In addition, to the fullest extent permissible by applicable law, the Great Minds Parties hereby disclaim all warranties, express or implied, including, but not limited to, the warranties of merchantability, fitness for a particular purpose, non-infringement, title, custom, trade, quiet enjoyment, system integration and freedom from computer virus. We do not warrant that the quality of the Digital Platform, Materials, or any available User Content will meet your expectations.

The Great Minds Parties do not represent or warrant that the Digital Platform will be error-free or uninterrupted; that defects will be corrected; or that the Digital Platform or the servers that make the Digital Platform available are free from any harmful components, including, without limitation, viruses. The Great Minds Parties do not make any representations or warranties that the information (including any instructions) on the Digital Platform are accurate, complete, or useful. You acknowledge that your use of the Digital Platform is at your sole risk.

The Great Minds Parties do not warrant that your use of the Digital Platform is lawful in any particular jurisdiction, and the Great Minds Parties specifically disclaim such warranties. By accessing or using the Digital Platform, you represent and warrant that your activities are lawful in every jurisdiction where you access or use such Digital Platform. Nothing in these Terms limits, excludes, or modifies, or purports to limit, exclude, or modify any statutory consumer guarantees or any implied condition or warranty the exclusion of which from these Terms would contravene any statute or cause any part of these Terms to be void ("Non-Excludable Guarantees").

11. Limitation of Liability; Waiver

To the maximum extent permitted by applicable law, and except in relation to any Non-Excludable Guarantees, you agree that under no circumstances will the Great Minds Parties be liable to you or anyone else for indirect, economic, special, incidental or consequential loss or damages related to: (a) the Digital Platform; (b) the Materials; (c) User Content; (d) your use of, inability to use, or the performance of the Digital Platform; (e) action taken in connection with an investigation by the Great Minds Parties or law enforcement authorities regarding your use of the Digital Platform; (f) action taken in connection with copyright or other intellectual property owners; (g) any errors or omissions in the Digital Platform's technical operation; or (h) any damage that results from events beyond our reasonable control, such as damages to any user's computer, mobile device, or other equipment or technology including, without limitation, damage from any security breach or from any virus, bugs, tampering, fraud, error, omission, interruption, defect, delay in operation or transmission, computer line or network failure or any other technical or other malfunction, including, without limitation, damages for lost profits, loss of goodwill, loss of data, work stoppage, accuracy of results, or computer failure or malfunction, even if foreseeable or even if the Great Minds Parties have been advised of or should have known of the possibility of such damages. However, in no event will the Great Minds Parties' total liability to you for all damages, losses or causes or action, except those in relation to any Non-Excludable Guarantees, exceed the lesser of: (i) the amount paid by you, if any, to Great Minds for Materials or services purchased through the Digital Platform; or (ii) ten United States dollars ($10.00). The prior limitation on damages is not intended to limit the Great Minds Parties' obligation to pay prevailing party costs or fees if recoverable pursuant to applicable law. The limitations set forth in this section will not limit or exclude the Great Minds Parties' liability for personal injury or property damage caused by Great Minds Parties, or for the Great Minds Parties' gross negligence, fraud or intentional, willful, malicious or reckless misconduct.

You agree that in the event you incur any damages, losses or injuries that arise out of any of the Great Minds Parties' acts or omissions—the damages, if any, caused to you are not irreparable or sufficient to entitle you to an injunction preventing any exploitation of the Digital Platform, any Materials, or any other websites, platforms, content, or services owned or controlled by the Great Minds Parties, and you will have no rights to enjoin or restrain the development, production, distribution, advertising, exhibition or exploitation of any of the Digital Platform, Materials, or other website, property, product, service, or other content owned or controlled by the Great Minds Parties.

By accessing the Digital Platform, you understand that you may be waiving rights with respect to claims that are at this time unknown or unsuspected, and in accordance with such waiver, you acknowledge that you have read and understand, and expressly waive, the benefits of section 1542 of the Civil Code of California, and any similar law of any state or territory, which provides as follows:

"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

12. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Great Minds Parties from and against all claims, damages, costs, investigations, liabilities, judgments, settlements and expenses, including attorneys' fees, that arise from or are otherwise directly or indirectly related to: (a) your User Content; (b) your use of the Digital Platform or activities in connection with the Digital Platform; (c) your breach or anticipatory breach of these Terms or any Additional Terms; (d) your violation of any laws, rules, regulations, codes, statutes, ordinances or orders of any governmental and quasi-governmental authorities, including, without limitation, all regulatory, administrative and legislative authorities; (e) information or material transmitted through your computer or other device owned or controlled by you, even if not submitted by you, that infringes, violates or misappropriates any copyright, trademark, trade secret, trade dress, patent, publicity, privacy or other right of any person or defames any person; (f) any misrepresentation made by you; or (g) the Great Minds Parties' use of your information as permitted under these Terms, the Great Minds Privacy Policy, or any other written agreement between you and Great Minds. You will cooperate as fully required by the Great Minds Parties in the defense of any claim. The Great Minds Parties reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you will not, in any event, settle any claim without the prior written consent of a duly authorized employee of Great Minds.

13. Governing Law and Jury/Class Action Waiver

These Terms are governed by the laws of the State of Delaware. Any controversy or claim arising out of or relating to these Terms of Use shall be brought in the state or federal courts located in New Castle County, Delaware. Both you and Great Minds waive the right to a trial by jury and the right to bring or resolve any dispute as a class, consolidated, representative, collective, or private attorney general action arising under these Terms, including without limitation claims relating to Great Minds' advertising and business practices. Both you and Great Minds waive the right to participate in a class, consolidated, representative, collective, or private attorney general action related any dispute that is brought by anyone else.

14. Miscellaneous

  1. Severability. Section titles are inserted only as a matter of convenience and have no legal or contractual effect. If any portion of these terms is held to be unenforceable, overbroad, unfair or unreasonable, such portion shall be construed in accordance with applicable law to the greatest extent possible, and otherwise severed, and the remainder of the provisions shall remain in full force and effect.
  2. Waiver. The failure of Great Minds to act with respect to a breach of these Terms by you or others does not constitute a waiver and will not limit Our rights with respect to such breaches or any subsequent breaches. No waiver by Great Minds of any of these Terms will be of any force or effect unless made in writing and signed by a duly authorized officer of Great Minds. Neither a course of conduct nor trade practice will act to modify these Terms.
  3. Assignment. Great Minds may assign its rights and obligations under these Terms to any party at any time without notice to you. Terms may not be assigned by you to any third party.
